Welcome to RecurAI. These Terms of Service (“Terms”) govern your use of our website, products, and services (collectively, the “Services”). By accessing or using our Services, you agree to comply with and be bound by these Terms. Please read them carefully.

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not use the Services.

2. Changes to Terms

RecurAI reserves the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on our website. Your continued use of the Services after such changes have been posted constitutes your acceptance of the new Terms.

3. Description of Services

RecurAI provides AI chatbot development, deployment, and management services tailored to meet the specific needs of businesses. Our Services include but are not limited to, creating custom AI chatbots, providing ongoing maintenance and updates, and offering support and consultation.

4. User Responsibilities

As a user of our Services, you agree to:

Provide accurate and complete information during the registration process.
Use the Services in compliance with all applicable laws and regulations.
Not engage in any activity that could harm, disrupt, or interfere with the Services or the networks and systems connected to the Services.
Not use the Services for any illegal, unauthorized, or unethical purposes.

5. Account Security

You are responsible for maintaining the confidentiality of your account information, including your username and password. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

6. Subscriptions

Some parts of Service are billed on a subscription basis (“Subscription(s)”). You will be billed in advance on a recurring and periodic basis (“Billing Cycle”). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription. At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or the Company cancels it.

7. Fee Changes

The Company, in its sole discretion and at any time, may modify Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle. The Company will provide you with a reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective. Your continued use of Service after Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.

8. Prohibited Uses

You may use Service or Website only for lawful purposes and in accordance with Terms. You agree not to use Service or Website:

In any way that violates any applicable national or international law or regulation.
For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise.
To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail”, “chain letters,” “spam,” or any other similar solicitation.
To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.
In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.

9. Contests, Sweepstakes, and Promotions

Any contests, sweepstakes, or other promotions (collectively “Promotion(s)”) made available through our Services or website may be governed by rules that are separate from these Terms. If you participate in any Promotions, please review the applicable rules as well as our Privacy Policy. If the rules for a Promotion conflict with these Terms, Promotion rules will apply.

10. Use of OpenAI Models

a) Service Integration: Our service, RecurAI, incorporates OpenAI’s models into all plans. By using RecurAI, you acknowledge and agree to comply with OpenAI’s usage policies and guidelines, in addition to our Terms of Service.

b) Prohibited Uses: You agree not to use the OpenAI models, or any part of our service that relies on these models, for any of the following purposes:

Generating spam, disinformation, or deliberately false content
Creating, promoting, or facilitating illegal content or activities
Developing, supporting, or using autonomous weapons or other systems intended to cause harm
Violating or infringing upon the privacy, publicity, or intellectual property rights of any person or entity
Discriminating against or harassing individuals or groups based on protected characteristics
Engaging in or promoting fraudulent or deceptive practices
Any purpose that violates applicable laws, regulations, or ethical standards

c) Monitoring and Enforcement: RecurAI reserves the right to monitor the use of OpenAI models within our service. If we detect any misuse, abuse, or violation of these terms, OpenAI’s policies, or applicable laws, we may, at our sole discretion, take one or more of the following actions:

Issue a warning
Temporarily suspend your access to the OpenAI model features
Permanently terminate your access to our service
Report the violation to the appropriate legal authorities
Pursue legal action to recover damages or seek injunctive relief

d) Liability and Indemnification: You agree to indemnify, defend, and hold RecurAI, its officers, directors, employees, and agents harmless from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from or in any way connected with your misuse of the OpenAI models or violation of these terms.

e) Changes to OpenAI Model Integration: We reserve the right to modify, suspend, or discontinue any aspect of the OpenAI model features at any time, with or without notice. This includes the right to change model versions, adjust usage limits, or alter the functionality of model-dependent features.

f) No Warranty: The OpenAI models are provided “as is” and “as available” without any warranties, express or implied. RecurAI does not guarantee the accuracy, completeness, or reliability of outputs generated by these models.

g) Compliance with OpenAI Policies: In the event of any conflict between these terms and OpenAI’s policies regarding the use of their models, OpenAI’s policies shall take precedence.

11. Data Security and Privacy

We prioritize the security and privacy of your data. Our Privacy Policy outlines how we collect, use, and protect your information. By using our Services, you consent to the collection and use of your data as described in our Privacy Policy.

12. Intellectual Property

All content, software, and technology provided as part of the Services are owned by RecurAI or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services for your business purposes. You may not copy, modify, distribute, or create derivative works from any part of the Services without our prior written consent.

13. Disclaimer of Warranties

The Services are provided “as is” and “as available” without any warranties of any kind, either express or implied. RecurAI disclaims all warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

14. Limitation of Liability

To the fullest extent permitted by law, RecurAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including, but not limited to, loss of profits, data, use, goodwill, or other intangible losses resulting from your use of or inability to use the Services.

15. Indemnification

You agree to indemnify, defend, and hold harmless RecurAI, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, but not limited to, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

16. Governing Law

These Terms shall be governed by and construed by the laws of the jurisdiction in which RecurAI operates, without regard to its conflict of law principles.

17. Dispute Resolution

Any disputes arising out of or in connection with these Terms shall be resolved through good faith negotiations between the parties. If the parties cannot resolve the dispute through negotiations, it shall be submitted to binding arbitration by the rules of the jurisdiction in which RecurAI operates.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and RecurAI concerning the Services and supersede all prior or contemporaneous understandings and agreements, whether written or oral.
